RECENT DEALS-SYNGENTA FOUNDATION

Kaplan & Stratton were instructed by Syngenta Foundation a non-profit social enterprise based in Basel, Switzerland to spin the Foundation’s “Kilimo Salama” programme into an independent for-profit (social enterprise) regulated entity.

The Kilimo Salama” programme is East Africa’s first and largest index based weather risk insurance programme which provides small holder farmers’ access to affordable insurance and assists farmers to invest more in their crops.

The transaction involved assisting with equity investments by various philanthropic institutions such as LGT Venture, Grameen Credit Agricole and Adolf H. Lundin Foundation; putting in place a complex employee share ownership scheme, transferring existing business and assets from the programme to the independent entity, getting the independent entity licensed and fully compliant with Kenyan law and assisting with a multi-million dollar grant raising from the IFC.
